Auriga targets platform investments which have many, or all, of the following characteristics:

• From $2 million to $20 million of EBITDA (add-ons of any size)

• A talented and committed existing management team

• “Improvable” operations, market strategy, or financial structure (not turnarounds)

• Geographically located in developed countries (add-ons considered globally)

• Differentiated product or service offering

• Niche leadership in growth industry

• Limited technology or regulatory risk

• Ability for Auriga to add value with our deep experience, capital markets expertise, and strategic relationships

Auriga will consider minority investments with the appropriate partners.

Auriga is prepared to work through the challenges associated with, but not limited to:

• Ownership groups with differing goals / ownership structure issues

• Incomplete management teams

• Lack of sales and marketing focus

• Capital structure issues

• Separating profitable operations from failing corporate structures

• Failed auction processes
